Legal agreement for using DevVendors services and website
By accessing or using DevVendors' services, website, or any applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access our Services.
These Terms apply to all visitors, users, and others who access or use the Services. Additional terms may apply to specific services, which will be provided to you when you engage those services.
DevVendors provides SaaS development, AI/ML services, content creation, and related technology services. Our services include but are not limited to:
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of any feature, database, or content.
When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
The Services and their original content, features, and functionality are and will remain the exclusive property of DevVendors and its licensors. Our Services are protected by copyright, trademark, and other laws of both the India and foreign countries.
Any intellectual property provided by you for the purpose of our Services remains your property. We claim no ownership over your pre-existing intellectual property.
Upon full payment for services rendered, ownership of the deliverables (code, designs, content, etc.) created specifically for you will be transferred to you, unless otherwise specified in a separate agreement.
Payment Terms: Our standard payment terms require 50% upfront payment to secure the project timeline and 50% upon delivery. For long-term contracts, we offer flexible payment schedules.
Pricing: All prices are quoted in Indian Rupees (INR) unless otherwise specified. We reserve the right to change our pricing at any time, but price changes will not affect ongoing projects.
Refunds: Due to the custom nature of our services, we generally do not offer refunds once work has commenced. However, if we are unable to deliver the agreed-upon services, we will provide a prorated refund based on work completed.
We provide regular updates every 2-3 days during project development. Communication typically occurs through Slack, Discord, or email as agreed upon at project commencement.
You are responsible for providing timely feedback and necessary materials to ensure project progress. Delays in providing feedback or materials may impact project timelines.
We respect the confidentiality of your information and ideas. We are willing to sign Non-Disclosure Agreements (NDAs) to protect your intellectual property and business information.
Both parties agree not to disclose any confidential information received from the other party, except as necessary to perform the Services or as required by law.
In no event shall DevVendors, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using our Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
